Annual General Meeting Notice and Agenda

About this document

What it’s for

Everything needed to call and run the annual general meeting of a membership charity or community group: the formal notice to members, the agenda and resolutions, explanatory notes, a trustee nomination form, an attendance and voting register and an outline for the minutes.

When to use it

  • For the AGM of an unincorporated association or an association-model CIO
  • Adapt it for a special (extraordinary) general meeting
  • Charitable companies must also follow the Companies Act 2006 rules on notices

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • Agenda
  • Resolutions
  • Ordinary resolutions (passed by a simple majority of votes cast)
  • [Special resolution (requires at least 75% of the votes cast)]
  • Notes to the notice
  • Statement by the nominee
  • Record of votes
  • 1. Welcome and quorum
  • 2. Minutes of the previous AGM

How to complete it

  • Check the notice period, quorum and voting rules in your governing document
  • Fill in the date, venue or online details and the resolutions
  • Send the notice and nomination form at least [14] clear days before the meeting
  • Use the register and minutes outline on the day

Key points to check

  • Changes to the constitution usually need a 75% majority and may need Charity Commission consent
  • Online or hybrid meetings must be allowed by your governing document
