Board Minutes Approving Share Allotment

About this document

What it’s for

A full set of board minutes for the meeting at which the directors approve a share subscription and allot the new shares. It records the directors’ authority to allot, how pre-emption rights have been dealt with, conflicts of interest, receipt of the subscription money and the follow-up actions: share certificates, register of members, SH01 return, PSC register and SEIS/EIS steps.

When to use it

  • When completing a seed, SEIS, EIS or other equity round
  • When issuing shares to a new or existing shareholder for cash
  • Alongside the shareholder resolutions in this pack where authority or a pre-emption waiver is needed

How to complete it

  • Choose the authority to allot option (section 550 or section 551) in item 5
  • Complete Schedule 1 with each allottee, share class, number and price
  • Sign the minutes as chair and keep them with the company’s records for at least 10 years

Key points to check

  • Do not allot SEIS/EIS shares until all the money has been received in cleared funds
  • SEIS shares must be issued on an earlier day than any EIS shares in the same round
  • File the SH01 within one month of the allotment
