Cap Table and Share Register

About this document

What it’s for

A set of linked tables to record who owns the company and how that changes with each funding round: a summary cap table on an issued and fully diluted basis, a round history, the option pool, convertible instruments, and the statutory register of members, allotments and transfers that the Companies Act 2006 requires every company to keep.

When to use it

  • From incorporation onwards, updated after every share issue, transfer or option grant
  • When preparing a term sheet or modelling the dilution from a new round
  • As part of the data room for investor due diligence

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • Part A – Share capital and share classes
  • Part B – Summary cap table (worked example)
  • Part C – Summary cap table (template)
  • Part D – Modelling a new round
  • Part F – Convertible instruments register
  • Calculating conversion
  • Part G – Register of members
  • Part H – Register of allotments
  • Part I – Register of transfers
  • Part J – Persons with significant control check

How to complete it

  • Start with the register of members – it is the legal record of shareholdings
  • Rebuild the summary cap table from it after every change
  • Use the worked example in Part B to check your method, then delete it
  • For complex rounds, keep the live cap table in a spreadsheet and use this document as the formal record

Key points to check

  • Percentages must reconcile to 100% on both bases
  • Fully diluted figures should include all options, warrants and convertibles
  • The register of members must be kept at the registered office or a notified inspection place

Our templates are professionally structured starting points for UK businesses, not legal advice. For anything complex, unusual or high-value, have your final version checked by a solicitor.
