CIO Constitution Guidance and Checklist

About this document

What it’s for

A working guide for founders and trustees setting up a charitable incorporated organisation (CIO), or converting an existing charity into one. It explains how the two Charity Commission model constitutions differ, sets out the choices you have to make in them, and gives decision records and checklists for registration, conversion and the first year.

When to use it

  • Before completing a Charity Commission model CIO constitution
  • When converting an unincorporated charity to a CIO
  • As a record of decisions for the founding trustees’ minutes

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • Part 1 – Is a CIO right for you?
  • Part 2 – Foundation model or association model?
  • Our decision
  • Guidance on each decision
  • Name
  • Purposes
  • Members’ liability
  • Trustees
  • Trustee benefits and conflicts
  • Meetings and decisions
  • Amendments
  • Dissolution
  • People
  • Purposes and plans
  • Documents and policies
  • Sign-off

How to complete it

  • Download the current model constitution from gov.uk – this guide does not reproduce it
  • Work through Parts 2 and 3 and fill in the decision record
  • Tick off the registration checklist in Part 5 as you go
  • Keep this completed guide with your founding records

Key points to check

  • A CIO only exists once the Commission registers it – do not sign contracts in its name before then
  • Model constitutions are updated from time to time – always use the version currently on gov.uk

Our templates are professionally structured starting points for UK businesses, not legal advice. For anything complex, unusual or high-value, have your final version checked by a solicitor.
