Collaboration Agreement

About this document

What it’s for

Businesses often team up for a single project – a joint bid, a product launch, a research project, an event or a shared marketing campaign – without wanting to set up a joint venture company. Without a written agreement, the parties may accidentally be treated as partners, with unlimited liability for each other’s debts, and argue later about who owns what. This agreement avoids that.

When to use it

  • For a joint project, bid, product, event or research collaboration
  • When each party brings its own expertise, staff, money or intellectual property
  • When the parties want to share income or costs from the project but stay independent

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  1. Definitions
  2. Purpose and duration
  3. Contributions
  4. Management
  5. Income and costs
  6. Intellectual property
  7. Confidentiality
  8. Competition law and data protection
  9. Liability
  10. Termination and exit

  12. General

How to complete it

  • Describe the project, each party’s contributions and the timetable in the Schedule
  • Decide how costs and income will be shared and who owns new intellectual property
  • Agree how decisions are made and how a party can leave

Key points to check

  • Collaborations between competitors must not involve price fixing, market sharing or exchanging sensitive commercial information – take competition law advice
  • If you will share personal data, add data protection terms
