Commercial Settlement Agreement

About this document

What it’s for

When a commercial dispute is resolved by negotiation or mediation, the settlement should be written down so that both sides know exactly what has been agreed and the dispute cannot be reopened. This agreement records the settlement sum and payment dates, the release of claims, confidentiality and, if court proceedings have started, how they will be brought to an end.

When to use it

  • To settle a dispute about unpaid invoices, defective goods or services, or a contract that has ended badly
  • After a successful mediation, or a “without prejudice” negotiation
  • Not for settling claims by employees – employment settlement agreements must meet special legal requirements

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  1. Definitions
  2. Settlement sum
  3. Full and final settlement
  4. Court proceedings
  5. No admission
  6. Confidentiality and non-disparagement
  7. Warranties
  8. General

How to complete it

  • Describe the dispute neutrally in the background and Schedule
  • Set out the payment terms and what happens if a payment is missed
  • Choose the clause for court proceedings if a claim has been issued

Key points to check

  • Decide carefully what claims are being released – a release can be wide or limited to the dispute
  • If proceedings have been issued, file a consent order or Tomlin order so the court knows the claim is settled
