Consultancy Agreement

About this document

What it’s for

An agreement for engaging an independent consultant who works through their own limited company (or a consultancy firm). It covers services, fees, intellectual property, confidentiality and termination, and includes detailed IR35 guidance and a status assessment record (Schedule 2).

When to use it

  • For interim managers, advisers and project consultants working through a company
  • Where the consultancy genuinely controls how it does the work
  • For a sole trader, use the Freelancer and Contractor Agreement instead

  • Complete Schedule 2 and, if you are a medium or large client, issue a Status Determination Statement
  • Review status at least every six months

Key points to check

  • The contract alone does not decide IR35 – the reality of the working relationship does
  • The small company thresholds for the off-payroll rules rose from 6 April 2026 – check which side of the line you are on
  • Post-engagement restrictions must be reasonable
