Content Licence Agreement

About this document

What it’s for

An agreement under which the owner of existing content (the Licensor) lets another business (the Licensee) use it in specific ways for a fee, while keeping ownership. It sets out exactly what can be used, where, for how long, whether anyone else can use it too, and what is forbidden – including AI training if you choose.

When to use it

  • Licensing photography, footage, illustration, articles, music or social content you have already created
  • Licensing creator content to a brand for advertising beyond the original post
  • Syndicating content to publishers, platforms or other businesses

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  4. Restrictions and AI use
  5. Editing and credit
  6. Delivery

How to complete it

  • List the content in Schedule 1 and the licence terms in Schedule 2
  • Choose Option A or Option B for AI use in clause 4
  • Choose a fixed fee or royalty in Schedule 3
  • Attach releases for any people or property shown

Key points to check

  • An exclusive licence must be in writing and signed to give the licensee full rights
  • Contract terms cannot stop non-commercial research text and data mining in the UK
  • Check the current UK position on AI and copyright before signing
