Due Diligence Questionnaire and Data Room Index

About this document

What it’s for

A due diligence questionnaire (DDQ) that covers the questions investors and their lawyers typically ask before an equity investment, organised by subject, with a data room index using the same numbering so each answer can point to the supporting documents. Preparing it before investors ask speeds up the round, reduces legal costs and shows the company is well run.

When to use it

  • Before launching a seed or Series A round, to get the company “investment ready”
  • When an investor sends its own DDQ – use this to organise answers and documents
  • To prepare the disclosure letter against the warranties in the investment agreement

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • 1. Corporate and constitutional
  • 2. Share capital and investment history
  • 3. Business, plan and financial information
  • 4. Commercial contracts
  • 5. Intellectual property and technology
  • 6. Employees, contractors and pensions
  • 7. Property and assets
  • 8. Data protection, IT and cyber security
  • 9. Tax
  • 10. Litigation, regulatory and compliance
  • 11. Insurance
  • 12. Environmental, social and governance (ESG)
  • 13. Founders and management
  • Declaration
  • Q&A log

How to complete it

  • Answer each question fully, or write “None” or “N/A” – do not leave blanks
  • Upload supporting documents to the data room folder with the same reference
  • Have a director review every answer; they will usually be giving warranties
  • Keep a dated copy of the version given to investors

Key points to check

  • Answers can form the basis of warranties and disclosure, so accuracy matters
  • Remove or redact personal data that is not needed (UK GDPR data minimisation)
  • Use an NDA before opening the data room to investors
