Freelancer and Contractor Agreement

About this document

What it’s for

A project agreement for engaging a self-employed sole trader – such as a designer, copywriter, developer, photographer or trainer – covering the brief, revisions, fees and deposits, cancellation, ownership of the work, confidentiality and liability, with guidance on employment status and a status checklist (Schedule 2).

When to use it

  • For a freelancer trading in their own name on a defined project
  • If they work through their own company, use the Consultancy Agreement
  • Not for anyone you will manage like an employee

Key points to check

  • If the freelancer is really an employee for tax, you must operate PAYE
