Heads of Terms and Letter of Intent

About this document

What it’s for

Heads of terms (also called a letter of intent, memorandum of understanding or term sheet) set out the main points the parties have agreed so far – such as price, scope, timetable and conditions – so that solicitors can draft the full agreement. They are usually not legally binding, except for a few clauses such as confidentiality and exclusivity. This template makes that distinction clear to avoid an accidental contract.

When to use it

  • Before a business or asset purchase, investment, joint venture, property deal or major supply contract
  • When you want a short exclusivity period while due diligence is done
  • Not for authorising work to start before the contract is signed – that needs a properly drafted letter of intent with a cap on cost

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • Part 1 – Commercial terms (not binding)
  • Part 2 – Binding provisions: confidentiality, exclusivity, costs and governing law

How to complete it

  • Fill in the commercial terms in Part 1 – keep them clear but brief
  • Choose which clauses in Part 2 are binding and set the exclusivity period
  • Both parties sign; then instruct solicitors to draft the full agreement

Key points to check

  • Do not start performing (for example delivering goods or doing work) under non-binding heads – the courts may find a contract on uncertain terms
  • An exclusivity (“lock-out”) clause is enforceable only if it is for a fixed period

Our templates are professionally structured starting points for UK businesses, not legal advice. For anything complex, unusual or high-value, have your final version checked by a solicitor.
