Intellectual Property Assignment Deed

About this document

What it’s for

A deed that transfers ownership of intellectual property – such as software code, designs, website content, databases, brand assets and inventions – from one person or business (the Assignor) to another (the Assignee). It is often used to tidy up ownership before investment, a sale or a product launch.

When to use it

  • A founder or freelancer wrote code before the company existed or without a written contract
  • Buying a piece of software, a website, an app or a brand from another business
  • Investor or buyer due diligence has found gaps in IP ownership

  • Record any registered rights at the UK Intellectual Property Office afterwards

Key points to check

  • A deed must be signed, witnessed (where required) and delivered correctly to be valid
