Mutual Non-Disclosure Agreement

A two-way confidentiality agreement. Both businesses promise to keep each other’s confidential information private and to use it only for the purpose you describe, such as discussing a possible deal, partnership or project.

• Before sharing pricing, customer lists, plans, designs or other sensitive information
• When both sides will be sharing information (if only you are sharing, a one-way agreement may suit better)
• Early in talks about a sale, joint venture, supply arrangement or collaboration

• Fill in the date, both parties’ details and the Purpose in clause 1
• Choose how long the confidentiality obligations should last in clause 8
• Check the governing law in clause 11 (this template is written for England and Wales)
• Print two copies, or sign electronically, and keep a signed copy each
