Purchase Order Template

About this document

What it’s for

A purchase order (PO) form for ordering goods or services from suppliers, followed by comprehensive terms and conditions of purchase. Issuing a PO on your own terms helps make sure your terms, rather than the supplier’s, govern the order, and gives you a clear record of what was ordered, at what price and who approved it.

When to use it

  • For any purchase that your financial procedures say needs a PO
  • When you want your own terms to apply to the supply, including quality, delivery, liability and payment terms
  • To support three-way matching of orders, deliveries and invoices

Also included

  • Purchase order form with order lines, delivery details and VAT
  • Authorisation box

How to complete it

  • Add your business details and logo, and number POs in a single sequence
  • Describe each item precisely (specification, quantity, unit price, delivery date)
  • Make sure the PO is approved by someone with the right authority before sending
  • Send the PO with the terms, and ask the supplier to acknowledge it in writing

Key points to check

  • If the supplier replies with its own terms, a “battle of the forms” can arise – the last terms sent and accepted often win, so ask for written acceptance of yours
  • For large or complex purchases, use a signed contract rather than relying on PO terms alone
  • Consider whether the supplier will handle personal data – if so you need data processing terms
