Sales Agreement and Order Form

About this document

What it’s for

A two-part sales contract for business customers. Part A is the order form: who is buying, what, for how much, when and how it will be paid for. Part B is a short set of key sales terms that forms the contract, deals with credit, cancellation and liability, and brings your full standard terms into the deal.

When to use it

  • For a significant or bespoke order from a business customer
  • When you want a signed order rather than relying on emails or a purchase order
  • Alongside the Terms and Conditions for the Supply of Goods or of Services in the Contracts & terms pack

How to complete it

  • Complete every box in Part A and delete the goods or services tables you do not need

  • Give the customer a copy and keep the signed original

Key points to check

  • Do not use this for consumers – use the Online Consumer Terms and Conditions instead
  • Check the liability cap in clause 11 suits the value and risk of the order
