SEIS and EIS Compliance Checklist

About this document

What it’s for

A practical checklist that founders and their advisers can work through before, during and after a SEIS or EIS round. It sets out each qualifying condition, gives space to record the evidence, and includes the ongoing three-year conditions and the steps for submitting a compliance statement and issuing certificates to investors.

When to use it

  • When planning a round and before applying for advance assurance
  • On the day the shares are issued (Part E)
  • At each board meeting during the three-year qualifying period (Part F)
  • When preparing the SEIS1 or EIS1 compliance statement (Part G)

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • Part A – Key figures (check before use)
  • Part B – Company conditions
  • B1. Status and structure
  • B2. Size, age and money raised
  • Part C – Trade and use of money conditions
  • Part D – Investor conditions
  • Part E – Share conditions and issue day
  • Part F – Ongoing conditions (three-year qualifying period)
  • Part G – Compliance statement and certificates

How to complete it

  • Check every figure in Part A against the current HMRC guidance and fill in the brackets
  • Mark each item Yes / No / N/A and record where the evidence is kept
  • Any “No” should be resolved, or advice taken, before shares are issued
  • Keep the completed checklist with the board minutes for the round

Key points to check

  • The EIS limits rose from 6 April 2026; SEIS limits are unchanged since April 2023
  • Different rules apply to knowledge-intensive companies and some Northern Ireland companies
  • The investor’s own eligibility (Part D) is ultimately their responsibility, but the company must not issue certificates it knows to be wrong
