Statement of Work

About this document

What it’s for

A Statement of Work (SOW) records the specifics of one project or phase carried out under an existing master agreement – such as the Software Development Agreement, SaaS Subscription Terms or IT Support and Managed Services Agreement in this pack. The master agreement holds the legal terms; the SOW holds the detail.

When to use it

  • Each time a new project, phase, release or piece of professional services work is agreed with an existing client
  • For implementation, onboarding, migration or configuration work alongside a SaaS subscription
  • Whenever “what are we actually delivering?” needs to be written down and signed

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • 1. Agreement details
  • 2. Background and objectives
  • 3. Scope of work
  • 3.1 In scope
  • 3.2 Out of scope
  • 3.3 Locations and working arrangements
  • 4. Deliverables
  • 5. Timetable and milestones
  • 6. Responsibilities, dependencies and assumptions
  • 6.1 Supplier responsibilities
  • 6.2 Customer responsibilities and dependencies
  • 6.3 Assumptions
  • 7. Acceptance
  • Acceptance criteria
  • 8. Charges and invoicing
  • 9. Project team and key personnel
  • 10. Governance and reporting
  • 11. Risks and issues
  • 12. Change control
  • 13. Special terms (if any)

How to complete it

  • Give each SOW a unique reference and identify the master agreement it falls under
  • Be specific in sections 3 to 6 – list what is out of scope as well as what is in
  • Agree acceptance criteria and dependencies before work starts
  • Have it signed by authorised signatories for both parties; later changes go through the Change Request Form

Key points to check

  • A SOW should not quietly override the master agreement – use section 13 if it genuinely needs to
  • If there is no master agreement, do not use a SOW on its own: put a full contract in place first
