Terms and Conditions for the Supply of Goods

About this document

What it’s for

Standard terms on which your business sells goods to other businesses: how an order becomes a contract, delivery, when ownership and risk pass, your warranty, payment and the limits on your liability. Having your own terms apply to every order puts you in a far stronger position if a customer pays late, rejects goods or makes a claim.

When to use it

  • When selling products to trade customers (not consumers)
  • Printed on or linked from quotations, acknowledgements and pro forma invoices
  • When opening a trade account – ask the customer to sign Schedule 1

How to complete it

  • Insert your details in clause 1 and complete the order form in Schedule 1
  • Choose your payment terms, interest option and warranty period
  • Set the liability cap in clause 12 at a level you can justify as reasonable
  • Send or link these terms before every contract is made

Key points to check

  • Consumer sales need different terms under the Consumer Rights Act 2015
  • Liability exclusions must be reasonable under the Unfair Contract Terms Act 1977
  • Check the status of the Commercial Payments Bill (proposed 60-day cap on payment terms)
