Trustee Code of Conduct

About this document

What it’s for

Sets out what the charity expects of its trustees: how they make decisions, behave towards each other, staff and volunteers, handle confidential information, use social media and technology, and represent the charity. It is organised around the eight principles of the 2025 Charity Governance Code and includes a breach procedure and a signed acceptance.

When to use it

  • Adopt it by board resolution and give it to every new trustee with their induction pack
  • Ask all trustees to sign it each year with their declarations
  • Refer to it when behaviour at board level needs to be addressed

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • 1. Purpose and status
  • 2. Scope
  • 3. Our foundation – knowing and meeting our legal duties
  • 4. Organisational purpose – keeping the Charity on course
  • 5. Leadership – setting the tone
  • 6. Ethics and culture – acting with integrity
  • Honesty and openness
  • Gifts, hospitality and expenses
  • Respect, dignity and safety
  • 7. Decision making – making good decisions together
  • 8. Managing resources and risks – looking after what we hold
  • Confidentiality
  • Social media, the media and technology
  • 9. Equity, diversity and inclusion
  • 10. Board effectiveness – getting better together
  • 11. Dealing with breaches of this code
  • 12. Review
  • Annual re-confirmation

How to complete it

  • Insert the charity’s name and the names of the people who deal with concerns
  • Remove or adapt sections that do not fit (for example staff sections if you have no staff)
  • Approve it at a board meeting and record the minute reference
  • Collect signed acceptance forms and keep them with trustee records

Key points to check

  • The Code is voluntary good practice; the legal duties are in charity law and CC3
  • Make sure your breach procedure matches the removal powers in your governing document
