Trustee Meeting Minutes

About this document

What it’s for

A ready-to-use template for minuting meetings of a charity’s board of trustees. It records attendance and quorum, declarations of interest, reports and – most importantly – the decisions made and the reasons for them, giving the charity the written record that charity law and good governance expect.

When to use it

  • For every ordinary and special meeting of the trustees (in person, online or hybrid)
  • Adapt it for committee meetings by changing the heading and quorum
  • Use the action log to track actions between meetings

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • Attendance
  • In attendance (not trustees)
  • 1. Welcome, apologies and quorum
  • 2. Declarations of interest
  • 3. Minutes of the previous meeting
  • 4. Matters arising and action log
  • 5. Chair’s report and strategy
  • 6. Report of the [CHIEF EXECUTIVE / COORDINATOR]
  • 7. Finance
  • 8. Risk, safeguarding and serious incidents
  • 9. Governance
  • 10. Fundraising, communications and partnerships
  • 11. Decisions and resolutions
  • Example resolutions (delete those not needed)
  • 12. Any other business
  • 13. Date of next meeting
  • Approval
  • Writing good minutes – checklist

How to complete it

  • Fill in the meeting details and attendance before the meeting starts
  • Record each decision using the resolution wording, with the reasons
  • Circulate the draft within [14] days and approve it at the next meeting
  • The chair signs the approved minutes, which are kept with the minute book

Key points to check

  • Minutes should record decisions and reasons, not every word said
  • Record declarations of interest and who left the room for each item
