Usage Rights and Licence Schedule

About this document

What it’s for

A schedule that attaches to your terms of business, a quote or a commission agreement and spells out the client’s permitted use of the work. It replaces vague phrases such as “all usage” or “full buyout” with a clear grid, and gives you a consistent way to price wider, longer or exclusive use.

When to use it

  • With the Freelance Creative Terms in this pack, or the Commission Agreement and Content Licence Agreement in the first Creative & agencies pack
  • When quoting for advertising, packaging, broadcast or any use beyond a client’s own website and social media
  • When a client asks to extend or renew a licence

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  1. Grant of licence
  2. Conditions and restrictions
  3. People, property and third-party elements
  4. Expiry
  5. Extensions and renewals
  6. Precedence

Also included

  • Part A – Licence details
  • Part B – Usage grid
  • Part C – Territory, duration and exclusivity
  • Territory codes
  • Duration codes
  • Exclusivity codes
  • Part D – Buyout options
  • Part E – Pricing the licence: fee multiplier method
  • Worked example (using the example multipliers)
  • Part F – Licence terms

How to complete it

  • Complete Part A and tick or fill in each relevant row of the usage grid in Part B
  • Choose a buyout option in Part D only if the client needs more than a defined licence
  • Use the multipliers in Part E to price the licence – replace the example figures with your own
  • Sign it with the client and keep it with the project file and delivery receipts

Key points to check

  • Third-party elements (music, stock, fonts, models) may have shorter or narrower rights than your licence
  • Model and location releases must cover every use you license
  • An assignment of copyright must be in writing and signed by you
