Use of Funds Statement

About this document

What it’s for

A clear statement of how your company will use the money it is raising: the budget by category, the timing of spend, the milestones it will achieve and how long the money will last. Investors expect it with a pitch or term sheet, it forms part of the business plan in the investment agreement, and it supports SEIS and EIS advance assurance and compliance.

When to use it

  • When preparing a pitch, term sheet or advance assurance application
  • As an agreed-form document at completion of a funding round
  • Quarterly afterwards, to report actual spend against plan

What’s inside

The document is laid out in the sections below. Each one comes with a plain-English guidance note explaining what it does and what to change.

  • Part 1 – Company and round details
  • Part 2 – Sources of funds
  • Part 3 – How the funds will be used
  • Part 4 – Spending timetable (by quarter)
  • Part 5 – Milestones the funds will achieve
  • Part 6 – Runway and key assumptions
  • Part 7 – Uses that are excluded
  • Part 8 – Monitoring, reporting and changes
  • Part 9 – Board approval
  • Part 10 – Spend tracker (actual against plan)

How to complete it

  • Complete Part 1 with the round details and Part 2 with the sources of funds
  • Build the budget in Parts 3 and 4 from your financial model – totals must agree
  • Set measurable milestones in Part 5 and the runway in Part 6
  • Have the board approve it (Part 9) and update the tracker in Part 10 each quarter

Key points to check

  • SEIS and EIS money must be spent on a qualifying business activity within the time limits
  • If you send this to potential investors it is a financial promotion – see Part 1
