SEIS & EIS Investment Tracker

Overview

SEIS and EIS give your investors generous tax reliefs – 50% or 30% income tax relief, tax-free gains after three years and relief if things go wrong – which makes it much easier for a young company to raise money. But the reliefs depend on the company passing a list of tests at every share issue, filing a compliance statement (SEIS1 or EIS1) for each issue on time, giving investors their certificates (SEIS3 or EIS3), spending the money within the deadline and keeping to the rules for three years afterwards. One slip can cost every investor in a round their relief. This workbook keeps the whole picture in one place: the company's eligibility, advance assurance, every share issue and every investor, the deadlines, the cap table after each round and what the reliefs are worth to an individual investor.

Who it is for

Made for people like you

  • Example – text
  • Founders and finance directors of start-ups – An eligibility check before each round, the limits that apply on the issue date, and every compliance deadline in date order.
  • Company secretaries and fundraising teams – One register of investors with the 30% connected-person test, relief status and which certificates still need to be sent.
  • Accountants and advisers – A clear audit trail by share issue: company tests, SEIS1/EIS1 dates, HMRC references, use of funds and the 3-year qualifying period.
  • Angel investors – The Investor Relief sheet shows income tax relief, carry-back, CGT reliefs and the outcome if the company succeeds or fails.

Quick start

Up and running in minutes

  1. Example – text
  1. Company – Enter the company name, report date, incorporation date, the date the qualifying trade started, the date of the first commercial sale, whether the company is knowledge-intensive, and the founders' shares. Record any advance assurance applications.
  2. Scheme Rules – Check the limits. They are correct for share issues up to the date of this version (including the Autumn Budget 2025 increases to the EIS limits from 6 April 2026).
  3. Funding Rounds – Add one row for each share issue, oldest first: ID, name, issue date, scheme, price per share, gross assets before the issue and employees. Put SEIS, EIS and other shares issued on the same day on separate rows, with SEIS first.
  4. Investors – Add one row for each subscription: the issue ID, investor, associate group, relationship, number of shares, the relief they will claim and whether they paid in full in cash.
  5. Keep it up to date – When you submit a SEIS1/EIS1, receive HMRC's authorisation, send certificates or spend the money, fill in the dates and amounts on Funding Rounds and Investors.
  6. Review – Check the Dashboard regularly – especially 'Share issues needing attention' and 'Next key dates' – and run the eligibility checklist before every new round.
