Board Meeting Minutes

About this document

What it’s for

A complete set of minutes for a meeting of the directors of a private limited company. Every company must record minutes of all directors’ meetings and keep them for at least ten years. Good minutes show what was decided, why, and that the directors considered their duties.

When to use it

  • For regular (monthly or quarterly) board meetings
  • For one-off meetings to approve a contract, borrowing, a director change or the annual accounts
  • As the record of a meeting held by video call or a mix of in person and remote

How to complete it

  • Fill in the meeting details table and the names of those present
  • Keep the agenda items you need and delete the rest; renumber if you delete items
  • Record each decision as a resolution (“It was resolved that…”) and actions in the action log
  • Have the chair sign the minutes as a correct record, usually at the next meeting

Key points to check

  • Your articles of association – quorum, notice, remote meetings and conflicts rules may differ from the model articles
  • Whether any director has an interest in a matter being decided
