Director Service Agreement

About this document

What it’s for

The contract of employment for a director who works in the business day to day (an executive director). It combines the statutory written statement of employment particulars with the extra protections a company needs from a senior person: fiduciary duties, conflicts, confidentiality, intellectual property, garden leave, restrictive covenants and resignation from office when employment ends.

When to use it

  • When appointing a managing director, finance director or other working director
  • When a founder-director becomes an employee of their company
  • When updating an old or informal director’s contract

How to complete it

  • Fill in pay, hours, notice and benefits, and complete Schedule 1
  • Choose the options in the bonus, pension, holiday and sickness clauses
  • Approve the agreement at a board meeting the director does not vote at, and minute it
  • Sign as a deed (because of the power of attorney) and keep a copy at the registered office

Key points to check

  • A guaranteed term of more than two years needs shareholder approval (section 188 Companies Act 2006)
  • Employment Rights Act 2025 changes are being phased in – see the guidance notes
  • Restrictive covenants must be reasonable – take advice on the non-compete
